These Terms and Conditions of Trade (“Terms”) govern all supplies of goods and services by Ausing Trading Pty Ltd (“Ausing”, “we”, “us”, or “our”) to any customer (“Client”, “you” or “your”) unless otherwise agreed in writing. By placing an order, signing a proposal, accepting delivery, or engaging us to provide services, the Client acknowledges and agrees to be bound by the following Terms.
1. Scope of Goods and Services
1.1 The goods and services to be supplied by Ausing are strictly limited to those described in the quotation, proposal, or formal agreement (“Contract”) signed or accepted by the Client. This may include hardware supply, system installation, configuration, or ongoing support, but only as specified in that Contract.
1.2 Typical inclusions (if documented in the Contract) may consist of:
Supply and delivery of computer network equipment, CCTV surveillance systems, and smart home devices;
Physical installation and mounting of such equipment;
Configuration of network infrastructure, smart systems, and video surveillance platforms;
System testing, commissioning, and initial calibration;
Basic client training or walkthrough upon handover;
Scheduled maintenance services, if part of a separate service agreement.
1.3 All services, deliverables, and timelines are subject to the terms of the agreed Contract. Any item or task not expressly listed is excluded. No verbal agreement or implied understanding shall form part of the Contract unless confirmed in writing.
1.4 Additional work, variations, or modifications required after execution of the Contract must be agreed upon in writing and may incur further charges.
2. Quotations and Estimates
2.1 All quotations and estimates are valid for 30 days unless otherwise stated in writing.
2.2 Quotations are based on current costs; changes in supplier pricing, site conditions, or client requirements may necessitate an updated quote.
2.3 Acceptance of a quote constitutes agreement to these Terms and authorisation for Ausing to proceed.
3. Pricing and Exclusions
3.1 All prices are exclusive of GST unless otherwise specified.
3.2 Unless explicitly stated in the Contract, the following are excluded and may attract additional charges:
- Scaffolding or elevated work platforms (EWP);
- Core drilling, structural modifications, or concrete penetrations;
- Civil or electrical works outside device connection;
- Removal or disposal of existing equipment;
- Repairs to pre-existing faults in the client’s infrastructure;
- Works performed on weekends, public holidays, or outside 8:00am–5:00pm weekdays;
- Network configuration or troubleshooting beyond agreed scope;
- Third-party cabling, construction, or electrical contractor costs.
4. Delivery and Installation
4.1 Delivery timelines are estimates only and may vary due to supplier availability or site conditions.
4.2 The Client must ensure all areas are accessible, safe, and ready for installation.
4.3 If Ausing is unable to access the site or if works are delayed due to Client-related reasons, additional charges may apply for rescheduling or lost time.
4.4 Risk in goods passes to the Client upon delivery, though title remains with Ausing until full payment is received (see Section 6).
5. Variations
5.1 Any variation requested by the Client or made necessary due to unforeseen circumstances or site conditions must be documented and approved before commencement.
5.2 Variations will be priced separately and may affect project timelines.
5.3 Ausing may suspend work until variation costs and scope are agreed in writing.
6. Payment Terms
6.1 All invoices are payable within 30 days of issue unless otherwise stated.
6.2 Ausing may require a deposit of up to 50% before ordering goods or beginning works.
6.3 Late payments may incur interest at 2% per month and recovery fees.
6.4 The Client is not entitled to withhold payments due to disputes, set-offs, or pending warranties.
7. Retention of Title
7.1 All goods remain the sole property of Ausing Trading Pty Ltd until payment in full has been received, including GST and any related fees.
7.2 Until title passes:
- The Client must store goods in a way that clearly identifies them as Ausing’s property;
- The goods may not be sold, modified, or encumbered;
- Ausing may repossess unpaid goods from any location without prior notice.
8. Warranties
8.1 Ausing provides a 12-month workmanship warranty unless otherwise specified.
8.2 Manufacturer warranties apply for hardware supplied.
8.3 The warranty excludes damage caused by:
- Misuse, negligence, vandalism, water ingress, power surges;
- Unauthorised modifications or third-party interference;
- Environmental factors or force majeure events;
- Failure to maintain or operate the system as intended.
9. Client Responsibilities
9.1 The Client agrees to:
- Provide reasonable access to the site and facilities;
- Ensure all required approvals and permits are obtained;
- Notify Ausing of any known hazards or site risks;
- Maintain the system in accordance with usage guidelines;
- Backup critical data before system changes where applicable.
10. Liability and Indemnity
10.1 Ausing’s liability is limited to the cost of re-supply, repair, or replacement of defective goods or services.
10.2 Ausing is not liable for indirect, incidental, or consequential damages, including loss of profit, business interruption, or data loss.
10.3 The Client indemnifies Ausing against all claims arising from the Client’s misuse of goods, unauthorised modifications, or failure to maintain systems.
11. Cancellation and Termination
11.1 If the Client cancels an order after acceptance, Ausing may charge:
- Costs of ordered goods;
- Time and labour already invested;
- Administration and restocking fees.
11.2 Ausing may terminate the agreement if:
- The Client fails to make payment within 14 days of due date;
- The Client becomes insolvent or breaches material terms;
- Site conditions become unsafe or unlawful.
12. Force Majeure
Ausing will not be liable for any delay or failure arising from circumstances beyond its reasonable control, including natural disasters, strikes, pandemics, transport delays, or supplier failures.
13. Intellectual Property
All diagrams, documentation, programming, and configurations created by Ausing remain its intellectual property unless otherwise agreed. The Client may not reproduce, reuse, or distribute without prior written consent.
14. Privacy and Data
The Client consents to Ausing collecting and storing personal or business data necessary to fulfil services, issue invoices, or meet regulatory requirements. Ausing complies with the Australian Privacy Principles.
15. Dispute Resolution
If a dispute arises, both parties agree to first attempt informal resolution in good faith. If unresolved within 14 days, the matter may be referred to mediation before initiating legal proceedings.
16. Governing Law
These Terms are governed by the laws of the State of New South Wales, Australia, and both parties submit to the jurisdiction of the courts of that State.
17. Entire Agreement
These Terms, together with any accepted quotation or signed Contract, constitute the entire agreement. Any variation must be in writing and signed by both parties
18. Acknowledgment and Acceptance
By proceeding with a purchase order, signing a quotation or proposal, instructing Ausing Trading Pty Ltd to commence work, or accepting delivery of goods or services, the Client confirms that they have read, understood, and agreed to be bound by these Terms and Conditions in full. These Terms shall prevail over any terms provided by the Client, unless expressly agreed to in writing by an authorised representative of Ausing. The Client also acknowledges that any variations or special conditions must be documented in writing and mutually agreed upon.
